By signing an EWG service agreement, inviting the EWG bot to a Discord server, or otherwise using EWG's reporting services, the Client agrees to be bound by these Terms. If the Client does not agree, they should not use EWG's services.
EWG provides Discord community intelligence and analytics reporting to gaming studios and community operators, including engagement, sentiment, moderation, and community health reporting, delivered according to the service level the Client has selected. Specific features, report sets, and applicable fees for a given service level are set out in the Client's service agreement or current pricing sheet provided separately by EWG, and are not restated in these Terms.
Every Client relationship includes Unity Shield, a separate nonprofit organization (501(c)(3) status pending) that provides a chain-of-custody record-keeping service. Unity Shield's service is provided in-kind, is mandatory for all Clients, and is never billed as a paid tier, module, or division of EWG. Unity Shield operates independently of EWG's for-profit reporting services.
The Client represents that it is the authorized owner or operator of the Discord server(s) submitted for analysis, and that it has the authority to permit EWG's bot integration to access those servers under Discord's applicable permission and intent framework. The Client is responsible for its own server's compliance with Discord's Terms of Service and Community Guidelines.
The Client agrees not to
EWG retains all right, title, and interest in its reporting methodology, software, templates, and report design system. Delivered reports are licensed to the Client for internal business use. Raw Discord data collected on the Client's behalf remains associated with the Client's community and is handled as described in EWG's Privacy Policy.
Each party agrees to hold the other's confidential business information in confidence and to use it only as necessary to perform under the service agreement. This includes Client community data, report contents, and any non-public information shared during onboarding or ongoing service delivery.
Fees, billing cadence, and service tier details are set out in the Client's service agreement or current pricing sheet, which may be updated by EWG from time to time. These Terms govern the relationship generally; the service agreement or pricing sheet governs the specific commercial terms in effect for a given Client.
Reports and analytics are provided on an "as is" basis and represent EWG's analysis of available community data; they are not a guarantee of any particular business outcome. EWG makes no warranty that its services will be uninterrupted or error-free. To the fullest extent permitted by law, EWG disclaims all other warranties, express or implied.
To the fullest extent permitted by law, EWG's total liability arising out of or relating to these Terms or the services shall not exceed the fees paid by the Client to EWG in the twelve (12) months preceding the claim. EWG shall not be liable for indirect, incidental, special, or consequential damages.
These Terms remain in effect for as long as the Client uses EWG's services. Either party may terminate the service relationship in accordance with the notice provisions in the Client's service agreement. Upon termination, EWG will cease active data collection for the Client's servers and will handle retained data in accordance with the Privacy Policy.
These Terms are governed by the laws of the State of Florida, without regard to its conflict of laws principles, and any dispute arising under these Terms will be subject to the exclusive jurisdiction of the state or federal courts located in Florida.
EWG may update these Terms from time to time. Material changes will be reflected by updating the Effective Date above. Continued use of EWG's services after an update constitutes acceptance of the revised Terms.
